Terms of Service

These terms govern your use of Manifest, operated by Glo Matrix LLC (“Manifest,” “we,” “us”). By creating an account or using the service, you agree to these terms. If you are agreeing on behalf of a company, you confirm you are authorized to do so.

Manifest is an operations platform for container carriers. It provides tools for dispatch, container and per diem tracking, invoicing, compliance tracking, fleet management, and an assistant called Marie. We may add, change, or remove features over time.

You are responsible for the accuracy of the information you enter, for keeping your login credentials secure, and for all activity under your account. If you add users such as drivers or dispatchers, you are responsible for their access and for the data you store about them. Tell us promptly if you believe your account has been compromised.

You agree not to misuse the service. That includes not using it for unlawful purposes, not attempting to access data belonging to other companies, not interfering with or probing the security of the platform, and not uploading content you do not have the right to store.

Marie is an assistant that helps you work with your data. Marie can make mistakes, and its answers, including per diem figures, terminal information, and operational summaries, are provided to assist you and are not a substitute for your own verification. Confirm anything that matters, such as charges, last free days, gate hours, and terminal status, against the steamship line, the terminal, or your own records before acting on it. You are responsible for decisions you make using Marie.

Manifest includes tools to help you track compliance items such as license expirations and inspections. These tools are an aid, not a guarantee of compliance. You remain responsible for meeting all legal and regulatory obligations that apply to your operation, including any federal and state requirements.

Paid plans are billed according to the pricing and plan terms shown at the time you subscribe. Fees are charged through Stripe. Unless stated otherwise, fees are non-refundable for the period already billed. We will give notice before any change to recurring pricing.

You own the data you enter into Manifest. You grant us the limited right to store and process it as needed to provide the service, including the third-party processing described in our Privacy Policy. We handle your data as described in that policy.

Manifest is provided on an “as is” and “as available” basis. We do not warrant that the service will be uninterrupted, error free, or fit for a particular purpose. You use it at your own discretion and risk.

To the fullest extent allowed by law, Glo Matrix LLC will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, lost data, or charges assessed by third parties such as steamship lines or terminals, arising from your use of the service. Our total liability for any claim relating to the service will not exceed the amount you paid us for the service in the twelve months before the claim.

You may stop using Manifest and close your account at any time. We may suspend or end access if you violate these terms or use the service in a way that risks harm to the platform or other users. On termination, we will handle your data as described in the Privacy Policy.

These terms are governed by the laws of the State of Georgia, without regard to its conflict of laws rules. Any dispute will be handled in the state or federal courts located in Georgia.

We may update these terms as the product changes. When we do, we will update the effective date and, for significant changes, give notice. Continued use after a change means you accept the updated terms.
